Independent Business Partner Terms

These Independent Business Partner Terms (“Terms”) govern participation in the Leván Media partner program operated by SUPEReROI AB, Swedish company registration number 559335-4771, Götgatan 87, 116 62 Stockholm, Sweden (“Leván Media”, “we”, “us” or “our”).

“You” means the business accepted into the program, including a registered sole trader acting in their business capacity.

These Terms are separate from our customer Terms of Service. Becoming a partner is free and is never required to purchase our services.

1. Eligibility and acceptance

The program is available only to verified businesses acting for commercial purposes. We do not accept private individuals acting outside a registered business.

To participate, you must:

Swedish partners must be approved for F-tax. Sole traders with FA-tax must invoke their F-tax approval in writing for the services covered by this agreement.

Foreign businesses must provide appropriate evidence of business registration and tax status. Swedish F-tax approval may also be required where services are performed in Sweden or applicable rules otherwise require it.

We approve only arrangements intended to permit payment for independent business services without payroll administration or employer social contributions on our part. If your circumstances do not meet these requirements, we may decline your application or suspend participation while the issue is resolved.

Approval is not automatic. An application or invitation does not itself create a right to commission.

2. Independent business relationship

You operate an independent business at your own expense and commercial risk.

You determine your own working time, location, tools and lawful promotional methods. There are no required working hours, minimum sales targets or recruitment quotas. You may work with other businesses, including competitors, subject to your confidentiality and intellectual property obligations.

These Terms do not appoint you as our employee, legal agent, franchisee or representative authorised to bind us. “Partner” is a program description and does not create a legal partnership or joint venture.

You may not:

Customers contract directly with us. You provide independent referral and promotional services; you do not acquire ownership of customer accounts.

Nothing in these Terms overrides a classification or obligation imposed by mandatory law.

3. Participation and qualifying customers

You do not need to purchase or maintain a subscription to participate or earn commission.

Ordinary customers do not become partners automatically. A customer must separately apply and be approved to receive partner status.

Commission is earned only from genuine purchases by qualifying customers. No commission is earned merely for:

Purchases by accounts with approved partner status do not generate program commission. If a customer becomes an approved partner, this exclusion applies to subsequent payments, without retrospectively cancelling valid commission on earlier qualifying payments.

Purchases through an entity you control or another account used to obtain commission on your own purchases are treated as self-referrals.

4. Eligible products and commission basis

The program currently covers the Starter and Premium subscription plans, paid monthly or annually.

Separate domain purchases, add-ons, setup fees and other products are excluded unless expressly included in a published commission plan.

Commission is calculated on the amount actually paid for an eligible product:

Our product delivery costs and ordinary payment-processing fees are not deducted from this commission basis.

Free trials, unpaid invoices, failed payments and free services generate no commission.

For an annual subscription, commission is calculated on the actual annual subscription payment, including any annual-plan discount. It is not calculated on twelve undiscounted monthly prices.

5. Seven-level commission plan

The standard plan allocates commission as follows:

There are seven potential recipients in total: the referring partner and up to six sponsors above that partner.

A partner without a sponsor receives 25% on their own qualifying referrals, not the unused 50% allocation.

All approved and eligible partners may earn at all seven levels. No purchase, recruitment threshold or customer quota is required to unlock a level.

If a position is empty or its recipient is ineligible, that share remains with us. It is not transferred to another recipient, and positions are not compressed.

Percentages refer to commission excluding any VAT properly chargeable on your services.

6. When commission is earned

Commission accrues when we successfully receive a qualifying customer payment, provided you are eligible at that time or have a continuing entitlement under Section 15.

Each qualifying renewal payment can generate commission under the applicable plan. There is no entitlement to commission on unpaid future invoices.

Annual-payment commission accrues on the entire qualifying annual payment when received. It is not released in twelve monthly instalments. The holding period and refund rules below still apply.

The commission plan in effect when a subscription makes its first qualifying payment is assigned to that subscription. Its percentage rates remain applicable to qualifying payments on that continuing subscription, subject to eligibility, termination and the other provisions of these Terms.

A different billing frequency or price does not by itself change the assigned percentages. Commission is always calculated on the actual qualifying amount paid.

A genuinely new subscription receives the plan applicable when its first qualifying payment is received.

7. Referral attribution

A subscription is attributed to you where the customer makes their first qualifying purchase within 30 days after their most recent valid click on your referral link, unless a later valid referral from another partner supersedes it.

Attribution uses permitted tracking methods, including cookies where applicable, as described in our Cookie Policy.

The first qualifying payment locks the subscription’s referring partner. Later clicks do not automatically reassign it.

Tracking may be affected by consent choices, browser restrictions, deleted cookies or switching devices. A referral that cannot be verified does not automatically create a commission entitlement.

Where reliable evidence establishes a technical attribution error, we will review it and make an appropriate documented correction. We will not intentionally remove valid attribution to avoid paying commission.

A subscription purchased without valid partner attribution does not generate partner commission.

8. Sponsors and network structure

Each partner may have one sponsor and may directly sponsor multiple partners.

A sponsor suggested through an invitation is confirmed when we approve the application. Partner invitations and customer referral links serve different purposes.

Ordinary customers are not positions in the sponsor chain.

We may correct a sponsor assignment for a documented error, fraud, an agreed transfer or another legitimate administrative reason. We will notify affected partners where practicable.

Sponsor changes do not retrospectively change valid commission already recorded. They must not be used to circumvent protected commission rights.

Self-sponsorship, circular structures and multiple positions intended to manipulate commission are prohibited.

9. Holding period, settlement and payment

Commission is initially pending for 30 days after receipt of the customer payment. It then becomes available for monthly settlement, unless a documented dispute, refund risk or compliance issue affects that amount.

We settle available balances monthly once they reach USD 50, excluding VAT. Smaller balances carry forward without being forfeited.

Subject to receipt of correct documentation, required invoice approval and verified payment details, payment is due within 30 days after the monthly statement and the applicable valid invoice or self-billed invoice are complete.

Payment is made outside our customer-payment system by bank transfer or PayPal, subject to availability and provider requirements. Stripe is not used to pay partner commission.

Payment must be made to a verified account belonging to the contracting business, or to its proprietor where appropriate for a verified sole trader.

Commission is accounted for in USD. Any alternative settlement currency and conversion method must be disclosed and accepted before conversion. Records will show the exchange rate and date used.

We bear our ordinary sending fees. Any intermediary, receiving-bank or currency-conversion charges that you may bear must be disclosed before payment.

Missing information can delay payment but does not, by itself, cancel valid accrued commission.

10. Invoicing and self-billing

Self-billing is our preferred invoicing method for eligible businesses.

Self-billing requires a separate agreement accepted before we issue invoices in your name and on your behalf. That agreement governs invoice approval, corrections and related procedures.

Self-billed invoices will identify you as supplier and SUPEReROI AB as customer, include the required invoice information and use a separate sequential invoice series for your business.

You must promptly review invoices and report errors. You must not issue a duplicate invoice for an amount already covered by a valid self-billed invoice.

Where self-billing is not used, you must provide a valid business invoice matching the approved commission statement.

VAT is added only where legally required and correctly documented. Reverse-charge treatment or another applicable treatment will be used where required.

Issued invoices are not overwritten. Corrections are documented through appropriate credit notes or other corrective documents.

11. Taxes and business status

You are responsible for your business taxes, registrations, tax returns, personnel and social contributions relating to your business.

You must notify us without undue delay if your business registration, F-tax approval, VAT status, place of work, tax residence or other relevant circumstances change.

We may request updated evidence before approval or payment and may suspend new commission eligibility where the required status is no longer established.

Our agreement is for independent business services, not payroll payments. Nevertheless, neither these Terms nor an invoice can remove a withholding, reporting or contribution obligation imposed on us by law.

If mandatory withholding is required, we may make that withholding and provide the relevant information. We will not treat an amount remitted to the relevant authority on your behalf as an additional unpaid commission balance.

If your circumstances create an obligation inconsistent with the program’s business-only requirements, we may suspend or terminate participation under Section 15. This does not authorise the forfeiture of valid accrued commission.

12. Refunds, chargebacks and corrections

A full or partial refund or chargeback reverses the corresponding commission proportionately, including where commission has already been paid.

A cancellation without a refund does not by itself reverse commission on a valid payment already received.

Reversals will be shown separately with a reference to the original transaction. We will not recover the same amount twice.

We may offset a documented reversal or overpayment against subsequent commission. If the balance cannot be recovered that way, we may request repayment within 30 days of a statement explaining the amount and its basis.

You may dispute a calculation through the partner portal. We will investigate reasonably and correct verified errors. Please report discrepancies promptly; a delay does not by itself remove rights available under mandatory law.

13. Promotion and permitted use of our brand

You must promote our services lawfully, accurately and transparently.

You must disclose your commercial relationship and potential commission wherever required, in a manner your audience can understand before acting on the promotion.

You must not:

We grant you a limited, non-exclusive, non-transferable permission to use approved promotional materials and brand assets solely to promote eligible services during participation.

You must follow reasonable brand guidance and promptly remove inaccurate or unauthorised materials when notified.

You may not offer rebates, cash incentives or other inducements funded from commission without our prior written approval.

14. Account security, confidentiality and personal data

You must protect your account credentials and notify us promptly of suspected unauthorised access.

Information about customers, other partners, unpublished business information and non-public program data may be used only for legitimate participation in the program. It must not be sold, disclosed without authority or used for unrelated marketing.

Confidentiality does not cover information that is lawfully public, independently developed or lawfully received without restriction. Legally required disclosures are permitted.

We process personal data as described in our Privacy Policy.

The portal provides limited information about your own referred customers and directly sponsored partners, and aggregated information about deeper levels. Access does not give you ownership of customer data or permission to contact individuals for unrelated purposes.

If you independently collect or use personal data for promotion, you are responsible for your own lawful processing, notices and security obligations.

15. Suspension and termination

Either party may terminate participation on 30 days’ written notice, including through the partner portal.

We may suspend participation immediately where reasonably necessary to investigate suspected fraud, a material breach, a security incident, loss of required business status or a legal restriction.

We will explain the reason as far as legally and practically possible. Any investigation hold must be proportionate, limited to affected amounts where possible and reviewed without undue delay.

For a remediable material breach, we will normally allow 14 days to remedy it after notice. We may terminate immediately for fraud, deliberate tracking manipulation, serious unlawful conduct, a breach that cannot reasonably be remedied or a legal requirement preventing continued participation.

A suspension affects new commission eligibility during the suspension. It does not automatically cancel valid accrued commission. If the suspension was unfounded, we will restore commission lost because of it where supported by the relevant records.

Ordinary termination by us without material breach

If we terminate your participation for convenience rather than because of your material breach, you retain commission rights on qualifying subscriptions already attributed to you, or already within your commission chain, immediately before notice was given.

Those rights continue on qualifying renewals of the same continuing subscriptions at the applicable levels and rates. Later sponsor restructuring must not remove those protected rights.

They do not extend to new subscriptions or new network sales added after termination. They end if the relevant subscription ends, ceases to qualify, or you subsequently commit a material breach of the continuing obligations governing those rights.

A genuine product discontinuation can end future customer payments and the corresponding commission; it does not reverse valid commission already accrued. We will not re-label or replace a substantially continuing subscription solely to evade protected commission.

Termination by you or for your material breach

If you terminate, or we terminate for your material breach, future commission stops on the effective termination date.

Valid commission accrued before that date remains payable, subject to refunds, corrections and lawful recovery of amounts obtained through fraud. Annual commission already accrued is not reduced merely because the partnership later ends.

Final settlement

Any remaining valid available balance is payable without the USD 50 threshold, subject to the normal holding period and completion of required payment and invoice information.

Termination does not cancel legitimate accrued commission. Only amounts that were invalid, reversed or improperly obtained may be removed on that basis.

After termination, you must stop presenting yourself as a current partner and stop using our promotional assets. Confidentiality, payment, correction, data-protection and other provisions intended to survive continue to apply.

16. Program and terms changes

We may change these Terms or introduce new commission plans on at least 30 days’ notice by email or a durable notice in the partner portal.

Changes required by law or necessary to address an urgent security or fraud issue may take effect sooner, with an explanation.

Changes do not retrospectively reduce valid accrued commission or alter percentage rates assigned to existing subscriptions without your express agreement.

New commission plans apply to new subscriptions from their stated effective date. Removal of a product from the program applies prospectively and does not by itself remove protected rights on existing qualifying subscriptions.

If you do not accept a change, you may terminate before it takes effect. A material expansion of your obligations will require express acceptance where applicable law requires it.

17. Availability and liability

We will take reasonable care in operating the program and correcting verified calculation or tracking errors. We do not guarantee uninterrupted availability, customer retention, any level of sales or any amount of income.

You are responsible for your own business expenses and promotional decisions.

To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, including loss of anticipated business opportunities.

Our aggregate liability for claims arising in any 12-month period is limited to the greater of USD 1,000 and the commission paid or payable to you for that period.

These limitations do not limit:

You are responsible for the direct, reasonably foreseeable loss caused by your breach of these Terms, subject to applicable law. No penalty or automatic forfeiture arises merely because a breach occurs.

18. Notices and general provisions

Program notices may be sent to the email address registered to your business or delivered through the partner portal in a form you can save. You must keep your contact information current.

You may contact us through the partner portal or the contact channels published on our website.

You may not transfer your partner account or rights without our written consent. A change of contracting business requires verification and must not be used to avoid these Terms.

We may transfer this agreement with the relevant business, provided the successor assumes our obligations and the transfer does not reduce your accrued or protected commission rights.

These Terms, the applicable commission plan and any accepted self-billing agreement form the agreement for program participation. A self-billing agreement governs invoicing procedures and does not change commission rates unless expressly agreed.

If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision on one occasion does not waive it.

19. Governing law and disputes

Swedish law governs these Terms.

The parties will first try to resolve disputes through good-faith discussions.

If a dispute cannot be resolved, it will be submitted to the Swedish courts, with Stockholm District Court as the court of first instance, unless mandatory law requires otherwise.
